Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website located at jinzo.co (the "Site"), operated by JINZO Co. ("JINZO," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. About JINZO

JINZO is a semiconductor supply chain intelligence company building operational software for fabless companies and integrated device manufacturers (IDMs). The Site provides information about our product, team, and design-partner program. It also hosts a waitlist application form.

2. Use of the Site

The Site is provided for informational and business-inquiry purposes only. You agree to use the Site in compliance with all applicable laws and regulations, including but not limited to US export-control laws administered by the Bureau of Industry and Security (BIS) and the Directorate of Defense Trade Controls (DDTC).

You agree not to:

• Submit false, misleading, or fraudulent information through the waitlist form.
• Attempt to gain unauthorized access to any portion of the Site, its servers, or any connected systems.
• Use automated tools (bots, scrapers, crawlers) to access the Site beyond what is permitted by our robots.txt file.
• Interfere with or disrupt the Site's infrastructure or security measures.
• Use the Site in any manner that violates applicable export-control, sanctions, or trade-compliance laws.

3. Waitlist and Design-Partner Applications

Submitting a waitlist or design-partner application does not create any contractual relationship, binding obligation, or commitment on the part of JINZO. Applications are evaluated at JINZO's sole discretion. We accept a limited number of design partners per engagement cycle and are under no obligation to accept any applicant.

Design-partner engagements, if accepted, will be governed by a separate written agreement with independently negotiated terms, scope, pricing, and deliverables. Nothing on this Site constitutes an offer, proposal, or binding commitment to provide services.

4. Intellectual Property

4.1 JINZO Trademarks: "JINZO," the JINZO logo, and associated trade dress are trademarks or registered trademarks of JINZO Co. You may not use these marks without our prior written consent.

4.2 Site Content: All text, graphics, design elements, code, and other content on the Site are the property of JINZO Co. or its licensors and are protected by US and international copyright, trademark, and intellectual-property laws. You may not reproduce, distribute, modify, or create derivative works from Site content without our express written permission.

4.3 Third-Party Marks: All third-party trademarks, service marks, and logos referenced on the Site (including but not limited to TSMC, Samsung, Intel, Broadcom, Nvidia, SEMI, JEDEC, SAE, and IEEE) are the property of their respective owners. Their use on this Site is for descriptive reference only and does not imply endorsement, sponsorship, or affiliation.

5. Confidentiality

Certain content on the Site, including dashboard previews and product screenshots, is intentionally obscured to preserve customer confidentiality. You agree not to attempt to reverse-engineer, enhance, de-blur, or otherwise reconstruct obscured content. Live product demonstrations are provided under separate NDA upon request.

6. Export-Control Compliance

JINZO's platform is designed to operate within the regulatory frameworks administered by BIS (Export Administration Regulations), DDTC (International Traffic in Arms Regulations), and equivalent international regimes. However, the Site itself does not contain controlled technical data, classified information, or export-controlled technology.

You represent and warrant that:

• You are not located in, or a national or resident of, any country subject to comprehensive US sanctions (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine).
• You are not listed on the US Treasury Department's Specially Designated Nationals (SDN) List, the BIS Entity List, the Military End-User (MEU) List, or any other applicable restricted-party list.
• Your use of the Site and any resulting engagement with JINZO does not violate applicable export-control or sanctions laws.

7. Disclaimer of Warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

JINZO does not warrant that:

• The Site will be uninterrupted, timely, secure, or error-free.
• The information on the Site is complete, accurate, or current.
• Any particular outcome will result from submitting an application.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JINZO CO., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM OR RELATED TO YOUR USE OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF JINZO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

JINZO'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED US DOLLARS (USD $100).

9. Indemnification

You agree to indemnify, defend, and hold harmless JINZO Co. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, or your violation of any applicable law or regulation.

10. Third-Party Links

The Site contains links to third-party websites, including government agencies (BIS, DDTC, NIST), industry organizations (SEMI, JEDEC, SAE, IEEE, SIA), and the Federal Register. These links are provided for reference only. JINZO does not control, endorse, or assume responsibility for the content, privacy policies, or practices of any third-party site.

11. Modifications to These Terms

We reserve the right to modify these Terms at any time. Material changes will be indicated by updating the "Last updated" date at the top of this page. Your continued use of the Site after any modification constitutes acceptance of the revised Terms. If you do not agree with any modification, you must stop using the Site.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.

13. Waiver

The failure of JINZO to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of JINZO.

14. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and JINZO regarding the use of the Site. These Terms supersede all prior or contemporaneous communications, whether electronic, oral, or written, regarding the Site.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising from or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
